These Terms and Conditions (hereinafter referred to as "Conditions") shall apply to any offer extended by Lufil Filtration Technology (hereinafter referred to as "Lufil") for the supply of goods and services (hereinafter referred to as "Goods") and any exceptions must be authorized in writing.
The placement of a purchase order by the Customer for the supply of Goods shall constitute acceptance of these Conditions, notwithstanding any other terms and conditions subject to which any quotation by Lufil is accepted or any such order is made.
No purchase order submitted by the Customer shall be deemed accepted by Lufil unless and until confirmed in writing.
Once the purchase order is accepted by Lufil, it shall not be modified unless agreed upon in writing by Lufil.
The Customer's purchase order shall incorporate all terms and conditions herein. No modification of these terms and conditions shall be effective unless reduced to writing and signed by duly authorized representatives of each party.
Shipment dates noted on confirmed purchase orders represent Lufil's best estimate of probable delivery time considering conditions known at the time the quotation is prepared. Delivery of Goods is contingent upon factors beyond Lufil's control, including but not limited to fires, floods, strikes, and transportation delays.
The Customer shall provide Lufil with necessary information, data, and technical specifications regarding their facility (referred to as the "Plant") required for the supply of Goods as per the purchase order.
Specifications provided by the Customer and approved by Lufil shall not be modified without written agreement from Lufil.
The Customer acknowledges that any advice, instructions, or recommendations provided by Lufil depend on the accuracy of the Specifications provided by the Customer. Inaccurate or incomplete Specifications may adversely affect the performance of the Goods.
The quantity, quality, functionality, and description of the Goods shall align with the Customer's purchase order and applicable specifications set by Lufil.
Drawings, illustrations, or product literature supplied by Lufil shall be considered approximations unless technical data used therein are accepted or approved by the Customer in writing within 7 days of receipt.
If Goods are manufactured according to the Customer's Specifications and result in infringement of intellectual property rights, the Customer shall indemnify Lufil against resulting losses or expenses.
Lufil reserves the right to make changes to Goods to comply with statutory or regulatory requirements.
No purchase order accepted by Lufil may be cancelled by the Customer without written agreement from Lufil, and on terms that require the Customer to indemnify Lufil for related costs.
Unless specifically agreed otherwise in writing, the responsibility for the installation of Goods lies with the Customer. Goods provided are based on Specifications provided, and Lufil reserves the right to make design changes unless limited by Customer specifications.
